Welcome to Transmit.Live. These Terms of Use (“Terms”) are a legally binding agreement between you (“you” or “User”) and Transmit.Live LLC (“Transmit.Live,” “we,” “our,” or “us”). These Terms govern your access to and use of our websites, products, and services, including https://www.transmit.live/, our software, APIs, video advertising technology, analytics tools, content, features, and all related services (collectively, the “Services”).

By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other applicable terms and policies referenced herein. If you do not agree, you must not use the Services.

Acceptance of Terms

Binding Agreement.

By accessing or using the Services, you agree to these Terms, which form a binding legal contract. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity, and “you” refers to that entity.

Updates to Terms.

We may update these Terms from time to time. The “Effective Date” at the top will reflect the latest version. If we make material changes, we will provide reasonable notice (e.g., via email, notice on our site, or account dashboard). Your continued use of the Services following notice constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.

Other Agreements.

In some cases, your use of specific features of the Services may be subject to additional terms (e.g., order forms, insertion orders, or master service agreements). In the event of a conflict between those agreements and these Terms, the additional agreements will control with respect to their subject matter.

Eligibility

Minimum Age.

The Services are not directed to persons under 18. By using the Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

Entity Users.

If you are using the Services on behalf of a business, organization, or other legal entity, you represent that you have authority to bind that entity.

Prohibited Users.

You may not use the Services if you are located in a country embargoed by the United States, or if you are on the U.S. Treasury Department’s list of Specially Designated Nationals or otherwise prohibited from using U.S. technology.

Scope of Terms

Website vs. Service Contracts.

These Terms govern your use of our Sites and Services generally. If you enter into a separate master services agreement, order form, insertion order, or other contract with us, that contract will govern in case of conflict with these Terms.

Third-Party Properties.

These Terms do not apply to third-party websites, apps, or platforms that may integrate our Services or that you may access via links. Those are governed by their own terms and privacy policies.

Accounts & Security

Registration.

Certain Services may require you to register for an account. You agree to provide accurate, current, and complete information during registration and to keep such information updated at all times.

Security.

You are responsible for safeguarding your login credentials and for all activity under your account. You agree to notify us promptly of any unauthorized access, use, or disclosure of your credentials. We are not liable for losses caused by stolen or compromised credentials where you have failed to maintain security.

Account Use.

Accounts are for a single user or entity only and may not be shared or transferred without our prior consent. Misuse of an account may result in suspension or termination.

Suspension/Termination.

We may suspend or terminate your account or access to the Services if we believe you have violated these Terms, applicable law, or engaged in fraudulent, abusive, or harmful conduct. We may also disable or remove accounts that are inactive for extended periods.

License & Ownership

Our Content.

The Services, including all software, technology, text, graphics, images, logos, videos, audio, data, APIs, SDKs, and other content (collectively, “Content”) are owned by Transmit.Live or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

License Grant.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

Restrictions.

You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, or exploit the Services except as permitted.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code.
  • Use the Services for competitive analysis or to build a competing product.
  • Remove or alter proprietary notices, disclaimers, or legends.
  • Circumvent technical restrictions, security features, or usage limits.

Reservation of Rights.

All rights not expressly granted are reserved by Transmit.Live and its licensors.

Trademarks.

Transmit.Live’s name, logos, and product names are trademarks of Transmit.Live. You may not use them without our prior written consent.

Feedback.

If you provide us with suggestions, comments, or other feedback (“Feedback”), you grant Transmit.Live a worldwide, perpetual, irrevocable, royalty-free license to use, copy, modify, and incorporate such Feedback into our Services without restriction or obligation.

User Conduct

You agree not to misuse the Services. Prohibited conduct includes, but is not limited to:

  • Using the Services in violation of applicable law, regulation, or industry standard.
  • Infringing the intellectual property, privacy, or other rights of others.
  • Uploading or transmitting malicious code, spam, or automated queries.
  • Attempting to gain unauthorized access to accounts, systems, or networks.
  • Using any automated means to scrape, index, or extract data from the Services.
  • Interfering with or disrupting the Services or their security.
  • Engaging in advertising fraud, generating invalid traffic, or attempting to circumvent ad measurement or reporting.

Third-Party Services

The Services may integrate or link to third-party websites, applications, or services. We do not control and are not responsible for third-party services, their availability, or their content. Use of third-party services is at your own risk and subject to their terms.

Where third-party open-source components are included in our Services, those are provided under their own licenses. We will provide a list of applicable open-source licenses upon request.

Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and disclose personal information. By using the Services, you consent to our data practices as described in the Privacy Policy, including with respect to targeted advertising, analytics, and data sharing with partners where permitted by law.

DMCA & Copyright Policy

Transmit.Live respects intellectual property rights. If you believe your copyrighted work has been copied in a way that constitutes infringement, please submit a written notification to our designated agent:

Your notice must comply with the Digital Millennium Copyright Act (“DMCA”), 17 U.S.C. § 512.

We will respond to valid DMCA notices and may terminate accounts of repeat infringers. If you are a user who has had material removed and believe the removal was in error, you may submit a counter-notification pursuant to the DMCA.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSMIT.LIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, secure, error-free, accurate, or free of viruses.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSMIT.LIVE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL;
  • DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow exclusion of certain damages or limitations on liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Transmit.Live and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of another.

Where required by law, Transmit.Live will indemnify you against third-party claims alleging that the Services infringe valid intellectual property rights, provided you promptly notify us of the claim and allow us to control the defense.

Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, all rights granted to you under these Terms will immediately cease.

Sections relating to ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions intended to survive termination will continue in effect.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Dispute Resolution & Arbitration

Mandatory Arbitration.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Los Angeles County, California, in English.

Class Action Waiver.

YOU AND TRANSMIT.LIVE AGREE THAT ARBITRATION SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS, AND NOT IN A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS.

Opt-Out.

You may opt out of arbitration by sending written notice within 30 days of accepting these Terms to legal@transmit.live.

Small Claims.

Either party may bring qualifying claims in small claims court.

Injunctive Relief.

Notwithstanding the foregoing, either party may seek injunctive relief in court for actual or threatened infringement of intellectual property rights or misappropriation of trade secrets.

Export Control & Sanctions

You may not use or access the Services if you are subject to U.S. sanctions or in a jurisdiction prohibited by U.S. export control laws. You agree to comply with all applicable export, re-export, and sanctions laws, including those administered by the U.S. Department of Commerce, U.S. Department of State, and Office of Foreign Assets Control (OFAC).

You also agree not to use the Services for activities prohibited by U.S. anti-boycott laws or the U.S. Foreign Corrupt Practices Act (FCPA).

Force Majeure

We shall not be liable for failure or delay in performance due to causes beyond our reasonable control, including natural disasters, acts of government, labor disputes, internet or telecommunications failures, power outages, or equipment failures. Payment obligations are not excused by force majeure.

Miscellaneous

Entire Agreement.

These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Transmit.Live.

Notices.

We may provide notices to you by email, through the Services, or by posting on our website. You consent to receive electronic notices.

Relationship of Parties.

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, or agency relationship.

Severability.

If any provision is found invalid or unenforceable, the remaining provisions remain in full force.

Waiver.

Our failure to enforce any right or provision shall not be a waiver of such right or provision.

Assignment.

You may not assign or transfer these Terms without our prior written consent. We may freely assign these Terms.

Headings.

Headings are for convenience only and have no legal effect.

Survival.

Sections regarding ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions intended to survive termination shall survive.
